Terms of Service

Effective 5 October 2026 · Last updated 12 October 2026

Draft for legal review. This draft is not legal advice and should be reviewed by a qualified lawyer before it is published.

Introduction

These Terms of Service govern access to and use of the Leasyd observability products and services, including the Leasyd app at app.leasyd.com, its APIs and ingest endpoints, synthetic checks and AI features (the "Products and Services"), provided by Leasyd Ltd, a company registered in England and Wales (company number 17285875), whose registered office is at 4-6 Greatorex Street, London, England, E1 5NF ("Leasyd", "Company", "we", "us"). Read them together with our Privacy Policy.

Using the Products and Services creates a binding agreement between you ("you", "your", "Customer") and Leasyd (the "Agreement" or "Terms"). If you do not agree to these Terms, do not access or use the Products and Services.

"You" covers every kind of user: the owner who set up the account and anyone given owner rights, and members invited to it. If you accept these Terms on behalf of a company or other legal entity, you confirm you have authority to bind it, its affiliates and its users, and "you" then also means that entity and its affiliates. If you don't have that authority, or don't agree, you may not use the Products and Services.

Definitions

  • "Documentation" means our then-current documentation, guides and policies for the Products and Services, including those at leasyd.com/docs.
  • "Customer Data" means any data submitted to, collected by or processed through the Products and Services by or for you or your users, including telemetry (logs, metrics, traces, events), synthetic check configurations and results, configuration data, and AI Inputs and Outputs.
  • "Usage Data" means technical, operational, usage, performance and statistical data about the use, operation, security or improvement of the Products and Services, excluding Customer Data other than in de-identified or aggregated form.
  • "Usage Limits" means any limit that applies to the Products and Services, such as daily data limits, rate limits, search allowances, retention periods, numbers of checks, keys or users, and feature limits, as stated in an Order, our pricing, the Documentation, your account settings or elsewhere in the product.
  • "Order" has the meaning given in section 1.

1. Accepting these Terms and Orders

1.1 By creating an account (including by accepting an invitation to one), you accept these Terms and get access to the Products and Services under a Free Trial (section 3), unless you have entered into a paid Order.

1.2 Any use beyond a Free Trial, under any paid, usage-based, promotional, evaluation, beta or other plan we offer, is subject to the fees, features, scope, Usage Limits and duration set out in the applicable Order, our pricing at leasyd.com/pricing, the Documentation, your account settings or other notice from us.

1.3 You may start, change or end a paid subscription in your account settings (Settings › Billing), or through an order form or other agreement signed with us. Each of these is an "Order" and forms part of the Agreement. If an Order conflicts with these Terms, the Order controls, but only for the Products and Services it covers and only to the extent of the conflict.

1.4 Terms in your own purchase orders, supplier portals or similar documents have no effect, even if we accept or process them, unless we sign them as an amendment to these Terms.

2. Subscription

Subject to these Terms and timely payment of all Fees, we grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right, during the term of your Order, to access and use the Products and Services for your own internal business purposes, within the plan, Usage Limits, features and scope that apply (the "Subscription").

3. Free trial and free use

3.1 We may, at our discretion and without obligation, offer free, trial, promotional, evaluation, beta, preview or limited-access use of the Products and Services (a "Free Trial"), on the terms, scope, Usage Limits, duration and eligibility we decide. Today a new account gets a 7-day Free Trial with up to 1 GB of data a day and no payment details needed.

3.2 A Free Trial may have limited features, capacity, retention, support or availability, and we may change, limit, suspend or end it at any time, with or without cause. Its period and limits are shown in your account settings or the product.

3.3 When a Free Trial ends without a paid Subscription, the Products and Services stop accepting new data and synthetic checks stop. Customer Data already stored stays searchable until it is deleted under its normal retention, and we may delete all remaining Customer Data of the account 30 days after the Free Trial ends.

3.4 Free Trials and any beta, preview or early-access features are for evaluation, are not production-ready unless we say otherwise in writing, and are provided without warranties, indemnities, service levels, support commitments or liability of any kind, to the fullest extent the law allows. You use them at your own risk.

4. Support

We provide support by email at support@leasyd.com ("Support"). We don't guarantee response times, but we use commercially reasonable efforts to respond within two business days. We may use third parties to provide parts of Support and remain responsible for it. If Support is not provided with reasonable skill and care, we will provide it again to the extent needed to correct it; that is your sole remedy for defective Support.

5. Usage limits

5.1 We may set, change and enforce Usage Limits, including on data volume, ingest rate, retention, searches and queries, synthetic checks, API keys, users, storage, concurrency and other technical, commercial or operational parameters. They are described in an Order, our pricing, the Documentation, your account settings or the product.

5.2 We measure usage to calculate Fees, check compliance with these Terms, run the Products and Services and enforce Usage Limits. You are responsible for configuring your instrumentation, sampling, drop rules and other settings to manage your usage and Fees.

5.3 Where usage exceeds, tries to exceed or circumvents a Usage Limit, or harms the security, integrity, performance, availability or cost of the Products and Services, we may refuse or throttle data, limit or suspend access, or charge for the excess. We may apply or change Usage Limits immediately where needed to protect the Products and Services, us, our customers or third parties, or to stop excessive, abusive, unexpected or unauthorized usage.

6. Feedback

You grant us a perpetual, irrevocable, worldwide, royalty-free and fully paid-up right to use and exploit, for any purpose, any suggestions, ideas, requests, feedback or recommendations you or your users give us about the Products and Services or our other products. You agree to help us find and fix defects by reporting bugs and sharing relevant information you have.

7. Restrictions

No rights or licenses in the Products and Services are granted to you except those expressly stated in these Terms. You may not: (i) use the Products and Services for purposes other than those permitted by these Terms; (ii) reverse engineer, decompile, modify or create derivative works of the Products and Services, or extract source code from them, except as the law allows despite this restriction; (iii) sublicense, resell or offer the Products and Services, or use them to provide services to third parties (including as a service bureau); or (iv) otherwise commercially exploit the Products and Services except as these Terms expressly permit.

8. Acceptable use

You will not use the Products and Services: (i) for any unlawful, invasive, infringing, defamatory or fraudulent purpose; (ii) to send spam or unsolicited bulk messages; (iii) to send malicious code or harmful files; (iv) in a way that harms Leasyd, our other customers or the Products and Services, as we reasonably determine; (v) in breach of these Terms; (vi) to send harassing, obscene, abusive, defamatory, unlawful or deceptive content; (vii) to commit or help commit a crime or other unlawful act; (viii) to interfere with others' use of the Products and Services; (ix) to alter, tamper with or circumvent any part of the Products and Services, including their security, limits or metering; (x) to test, probe or reverse engineer the Products and Services to find limitations or vulnerabilities, except through responsible disclosure to us; or (xi) to run synthetic checks against systems you don't own or aren't authorized to test, or in a way that burdens them unreasonably.

9. Account security

You are responsible for your use of the Products and Services and for all activity under your account, including through your API keys. Keep usernames, passwords, API keys, tokens and other credentials secret and take reasonable precautions to protect them. Tell us immediately at support@leasyd.com if you believe your account or any credential has been accessed without authorization, and revoke affected keys in Settings. We are not liable for loss caused by your failure to prevent unauthorized access to your account. You must not give false information to get access to the Products and Services.

10. Equipment

You are responsible for obtaining, maintaining and securing the equipment and services you need to connect to and use the Products and Services, such as internet access, hardware, servers, operating systems, networking and OpenTelemetry collectors or agents.

11. AI features

11.1 Definitions. "AI Features" means features of the Products and Services that use artificial intelligence to produce content, such as answers, explanations, summaries, queries or suggestions, from AI Inputs. They include the AI SRE assistant ("Ask Leasyd AI"). "Agentic AI" means an AI Feature that can take actions or make changes, as opposed to only producing content.

11.2 Inputs and Outputs. You may submit Customer Data, including prompts and questions, to AI Features ("Inputs") and receive content back ("Outputs"). AI Features may read your Customer Data to answer. You keep all rights in Customer Data contained in Inputs and Outputs. AI Features are powered by third-party models (Anthropic's Claude, through Anthropic's API or Amazon Bedrock; see the sub-processors in our Privacy Policy); neither we nor the model provider use your Inputs or Outputs to train models. We may use Inputs and Outputs to improve AI Features only once they are de-identified so they don't identify you and aggregated with data of other customers. We will not use, or let any third party use, Customer Data to train any AI model without your prior written consent.

11.3 Actions. Today's AI Features only read your data and produce content; they do not make changes. If we offer Agentic AI, then by using it you authorize it to act on your behalf, only to carry out your instruction, and within the permissions you configure. You are responsible for the actions it takes at your direction or as a result of your configuration, for having the rights to let it act in any system you connect, and for reviewing and monitoring the permissions you grant it.

11.4 Disclaimer. Outputs are generated automatically and are not tested, verified, endorsed or guaranteed by us to be accurate, complete or current. Review and verify Outputs before relying on them. The disclaimers and limitations of liability in these Terms apply to AI Features.

11.5 Restrictions. You will not, and will not let anyone else: (i) use AI Features or Outputs to infringe anyone's rights; (ii) use AI Features or Outputs to develop, train or improve AI or machine-learning models; (iii) present Outputs as approved or vetted by us; (iv) present Outputs as wholly human-written original work; (v) use AI Features for automated decisions with legal or similarly significant effects on individuals without adequate human review and compliance with applicable law; or (vi) use AI Features for discriminatory, harassing, harmful or unethical purposes.

12. Your users and third-party tools

You are solely responsible for: (i) the acts and omissions of users you authorize, and we are not liable for loss of data or functionality they cause; (ii) having all rights, permissions, consents, notices and legal bases needed to submit Customer Data, including personal data, to the Products and Services; (iii) configuring your instrumentation and the Products and Services so that you don't send personal data you don't need; and (iv) any third-party products, services, cloud services, integrations, collectors, agents, plugins or platforms you enable, configure or use with the Products and Services (such as an OpenTelemetry Collector, an AWS CloudWatch metric stream or an alert destination). We are not responsible for them, or for any loss, disclosure, change, deletion or unavailability of Customer Data, functionality or your systems that they cause.

13. Restricted Data

13.1 You will not submit or make available through the Products and Services any Restricted Data unless we expressly agree in a written Order or agreement we have signed. "Restricted Data" means: (i) protected health information subject to HIPAA or similar health data; (ii) payment card data subject to PCI DSS; (iii) government identification numbers, financial account numbers, biometric data, precise geolocation, children's data or other sensitive or special-category personal data; (iv) passwords, private keys, access tokens, credentials or other secrets (other than secrets you give a synthetic check in its encrypted secrets field, used only to run that check); (v) export-controlled data; or (vi) any data that needs security, regulatory or contractual controls beyond those stated in these Terms.

13.2 You are solely responsible for configuring your systems, instrumentation and integrations so that Restricted Data isn't sent to the Products and Services, for example with OpenTelemetry Collector processors or drop rules. We have no duty to look for Restricted Data, and may delete or quarantine it, stop processing it, or require you to remove it if we find or reasonably suspect it has been sent.

14. Suspension

We may suspend your or any user's access to the Products and Services immediately on notice if we reasonably determine that: (i) you or a user has breached these Terms; (ii) your use creates a security, legal, operational or availability risk to us, the Products and Services or any third party; (iii) suspension is required by law; or (iv) any Fees are overdue. Where practical, we will limit a suspension to the affected part of the Products and Services, and we will restore access once the reason is resolved. While access is suspended, new data may be refused and stored Customer Data continues to be deleted under its normal retention.

15. Problems on your side

We are not liable for any failure or delay caused by a breakdown, outage or misconfiguration of your systems, networks or instrumentation.

16. Responsibility for Customer Data

16.1 The Products and Services are not designed to detect malicious, harmful or problematic files or data, and must not be relied on to do so. You are responsible for all Customer Data you send or access, even if the Products and Services monitored, stored, searched or otherwise processed it ("Process"). Don't open or act on suspicious content found in your data.

16.2 Customer Data is the sole responsibility of the person or party it came from. You may be exposed to Customer Data you find harmful, unlawful, offensive or objectionable, and you use the Products and Services at your own risk.

16.3 You are solely responsible (and we have no responsibility to you or any third party) for Customer Data you access, use, send or display through the Products and Services and for the consequences of doing so, including any loss or damage we suffer as a result. You will not interfere with or disrupt the Products and Services or the servers and networks connected to them. Information you give us must be accurate, complete and current.

17. Lawful use

You will use the Products and Services only as these Terms and all laws and regulations that apply to you permit, including those on intellectual property, privacy and data protection.

18. Data protection and security

18.1 Our Privacy Policy explains how we handle personal data. Where Customer Data includes personal data, we process it as your processor (or service provider), only on your documented instructions (these Terms and your use of the Products and Services). We will: keep it confidential; apply the security measures in 18.2; use only the sub-processors listed in our Privacy Policy, giving notice of new ones so you can object; help you answer data subject requests and meet your security obligations; tell you without undue delay of a personal data breach affecting it; and delete it as set out in 18.4. We comply with the UK General Data Protection Regulation and the Data Protection Act 2018 ("Data Protection Laws"), and these commitments are intended to meet Article 28 of the UK GDPR. Where Customer Data is transferred outside the UK, we rely on UK adequacy regulations (including the UK Extension to the EU-U.S. Data Privacy Framework, where the recipient is certified) or, otherwise, the UK International Data Transfer Agreement or the UK Addendum to the EU Standard Contractual Clauses, which are incorporated by reference. A separate Data Processing Addendum is available on request.

18.2 We maintain technical and organizational measures reasonably designed to protect the security, confidentiality and integrity of Customer Data, including encryption in transit and at rest and separation of each account's data. You can ask for details at support@leasyd.com.

18.3 You grant us, our affiliates and our sub-processors, service providers and contractors a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, process and analyze Customer Data as needed to provide, secure, support, maintain and improve the Products and Services, measure usage for billing, comply with law and exercise our rights under these Terms. We may use Usage Data, and Customer Data in de-identified or aggregated form, to develop, improve, support and operate the Products and Services and our other products, as long as we don't identify you or any individual as its source. We do not sell Customer Data.

18.4 Customer Data is kept for the retention period of your plan (currently 30 days plus the current day, UTC) and then deleted automatically. When the Agreement ends, we delete remaining Customer Data and your Confidential Information within 30 days, or sooner if you ask, except where we must keep it by law or for legitimate backup, security, compliance or legal purposes, and will confirm deletion on request. Usage and billing records are kept as accounting law requires.

19. Confidentiality

19.1 Each party will protect the other's Confidential Information by: (i) not disclosing it to third parties; (ii) protecting it with at least the care it uses for its own similar information, and never less than reasonable care; and (iii) using it only to perform the Agreement. A party may share the other's Confidential Information only with its employees, contractors and advisers who need it for the Agreement and are bound to protect it, and is responsible for their compliance.

19.2 A party may disclose Confidential Information where a court order or law requires, if it notifies the other party first (where the law allows), reasonably cooperates, at the other party's cost, in seeking protection for it, and discloses only what is required. Because breach may cause irreparable harm, the disclosing party may seek injunctions or similar relief in any competent court without proving actual damage.

19.3 "Confidential Information" means non-public information that is marked or described as confidential or should reasonably be understood to be confidential, including before the date of the Agreement. It excludes information that: (i) the receiving party already knew without a duty of confidentiality; (ii) becomes public through no fault of the receiving party; (iii) the receiving party rightfully receives from a third party without a duty of confidentiality; or (iv) the receiving party develops independently without using Confidential Information.

20. Fees and payment

20.1 You will pay the fees in your Order, our pricing, your account settings or other notice from us ("Fees"). Unless an Order says otherwise, Fees are usage-based: per record received, per record stored and per synthetic check run, at the prices on leasyd.com/pricing when the usage occurs. Fees may also include fees for additional features, capacity, retention or support.

20.2 Usage is measured by the Products and Services and invoiced monthly in arrears in US dollars. Unless an Order says otherwise, invoices are charged automatically to the payment method you add in Settings › Billing, through our payment processor Stripe; you authorize us and Stripe to charge it for all Fees due. Invoices paid by other means are due within 30 days of the invoice date.

20.3 Fees exclude taxes. You will pay all sales, use, value-added, withholding and similar taxes, other than taxes on our income; we add them to invoices where we are required to collect them.

20.4 Overdue amounts may bear interest at 1.5% a month, or the highest rate the law allows if lower, from the due date until paid. We may suspend access to the Products and Services if Fees are not paid when due, without affecting our other rights and remedies.

20.5 We may change our prices by giving at least 30 days' notice; changes apply to usage from the date stated in the notice.

20.6 If you believe an invoice is wrong, tell us within 30 days of its date; we will review it in good faith.

21. Intellectual property

We are the exclusive owner of the Products and Services, including all derivatives, enhancements, modifications and improvements, and all intellectual property and proprietary rights in them. As between the parties, you keep all right, title and interest in Customer Data, subject to our rights to use Customer Data and Usage Data under these Terms.

22. Our indemnity

22.1 We will defend you, and your officers, directors, employees and permitted successors and assigns, against third-party claims alleging that the Products and Services infringe or misappropriate that party's patent, copyright, trademark, trade secret or other intellectual property right, and pay the damages and costs (including reasonable attorneys' fees) finally awarded against you, or agreed by us in a settlement.

22.2 This applies only if you notify us promptly in writing, let us control the defense and settlement, and reasonably cooperate at our expense. It does not apply to the extent a claim arises from: (i) changes to the Products and Services not made by us; (ii) use not in line with these Terms, an Order or the Documentation; (iii) combining the Products and Services with other products, services, data or processes, where the Products and Services alone would not infringe; (iv) Customer Data; (v) continued use after we tell you to stop; or (vi) a Free Trial or other free, beta or evaluation use.

23. Your indemnity

23.1 You will defend us, our affiliates and our and their directors, officers, employees and subcontractors against third-party claims, and pay the resulting damages, losses, costs and expenses (including reasonable attorneys' fees), to the extent arising from: (i) Customer Data, including its content, collection, submission and authorized use; (ii) your misuse of the Products and Services; (iii) actions taken by Agentic AI at your direction or as a result of your configuration; (iv) your breach of these Terms or an Order; (v) your violation of law; or (vi) third-party products, services or integrations you enable for use with the Products and Services.

23.2 This applies if we notify you promptly in writing, let you control the defense and settlement, and reasonably cooperate at your expense. You may not settle a claim in a way that admits fault by us, imposes non-monetary obligations on us or doesn't fully release us, without our prior written consent.

24. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE PRODUCTS AND SERVICES (WHETHER PAID OR FREE) ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCTS AND SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT ERRORS WILL BE CORRECTED, THAT DATA WILL BE DELIVERED OR STORED WITHOUT LOSS OR CORRUPTION OR WITHIN ANY PARTICULAR TIME, OR THAT THE PRODUCTS AND SERVICES WILL DETECT OR PREVENT ANY INCIDENT, OUTAGE, THREAT OR LOSS THEY ARE DESIGNED TO HELP WITH. UNLESS AGREED IN A SIGNED ORDER, NO SERVICE LEVEL OR UPTIME COMMITMENT APPLIES. YOU ARE RESPONSIBLE FOR THE CUSTOMER DATA YOU PROCESS THROUGH THE PRODUCTS AND SERVICES, AND ANY DATA YOU DOWNLOAD OR OBTAIN THROUGH THEM IS AT YOUR OWN RISK.

25. Limitation of liability

25.1 NOTHING IN THESE TERMS LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, WILLFUL MISCONDUCT, YOUR OBLIGATION TO PAY FEES, OR ANY LIABILITY THAT CANNOT BE LIMITED BY LAW.

25.2 SUBJECT TO 25.1, NEITHER PARTY WILL BE LIABLE TO THE OTHER, EVEN IF ADVISED OF THE POSSIBILITY, FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL OR DATA, ARISING OUT OF OR RELATING TO THE AGREEMENT.

25.3 SUBJECT TO 25.1, OUR AND OUR AFFILIATES' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR, FOR A FREE TRIAL OR OTHER FREE USE, US$100.

25.4 THESE LIMITATIONS APPLY WHATEVER THE LEGAL THEORY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THEM MAY NOT APPLY TO YOU.

26. Export control and sanctions

The Products and Services may be subject to U.S. and other export control and sanctions laws, and you will comply with them. You will not export, re-export, transfer or give access to the Products and Services: (i) to any country or region subject to U.S. or other applicable embargoes or comprehensive sanctions, or to anyone ordinarily resident there; (ii) to any person or entity you know or have reason to know will use them for nuclear, chemical or biological weapons or missile technology; or (iii) to any person or entity on a U.S. or other applicable restricted-party list. You confirm that you are not such a person or entity.

27. Term and renewal

The Agreement starts when you accept these Terms and continues while you have an account. A paid Subscription started in Settings › Billing runs month to month and renews automatically each month until cancelled. An Order signed with us runs for the term it states and, unless it says otherwise, then renews for successive one-month terms unless either party gives notice of non-renewal before the end of the current term.

28. Termination for breach

Either party may terminate the Agreement or an Order immediately by written notice if the other party materially breaches it and does not cure the breach within 15 days of notice, or becomes insolvent or subject to bankruptcy proceedings not dismissed within 30 days. We may also terminate immediately by written notice if you breach these Terms in a way that cannot be cured, without affecting our other rights and remedies.

29. Cancellation and refunds

29.1 You may cancel a monthly Subscription at any time in Settings › Billing › Manage billing. Cancellation takes effect at the end of the current monthly billing period; usage up to then is invoiced, and the account then stops accepting new data. You may also ask us to close your account and delete its data by email from an owner's address.

29.2 Fees for usage already incurred, and Fees paid, are non-refundable, except where these Terms or the law say otherwise. Orders signed for a fixed term are non-cancellable for that term; if such an Order gave a discount for a longer commitment and ends early for any reason, the Fees are adjusted to what would have been due without the discount, and you will pay the difference on notice.

30. Effect of termination

When the Agreement or an Order expires or is terminated: all rights and licenses granted under it end; you must stop using the affected Products and Services; all unpaid amounts become due immediately; and Customer Data is deleted under section 18.4. Provisions that by their nature should survive termination survive it, including sections 6, 12, 13, 16, 18 to 25, 29, 30 and 32 to 38.

31. Force majeure

Neither party is in breach or liable for delay or failure to perform (other than payment obligations) to the extent caused by events beyond its reasonable control, including strikes and other labor disputes, failures of utilities, networks or cloud providers not caused by that party, acts of God, war, riot, civil unrest, terrorism, malicious damage, pandemic, epidemic, government action, or extreme weather, provided it uses reasonable efforts to avoid and mitigate the effects and to keep performing its obligations in other reasonably practical ways.

32. Notices

We send notices to you at the email address of an owner of your account, or the address in your Order, and may also give notices in the Products and Services or on our website where they are clearly visible to you. Notices to us must be sent to Leasyd Ltd, 4-6 Greatorex Street, London, England, E1 5NF, Attn: Legal, with a copy by email to support@leasyd.com. Notices are effective on delivery if delivered by hand; one business day after sending by email (with no bounce) or by overnight courier; and five days after posting by registered or certified mail.

33. Governing law and disputes

33.1 The Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter are governed by the laws of England and Wales.

33.2 The parties will first try to resolve any dispute through good-faith discussion between senior representatives for at least 30 days. If that fails, the courts of England and Wales have exclusive jurisdiction to settle the dispute, except that either party may seek injunctive or other urgent relief, or enforce a judgment, in any competent court.

33.3 Nothing in this section limits any mandatory rights you have under the law of the country where you are established.

34. Assignment

We may assign the Agreement or any Order without your consent, including in connection with a merger, reorganization, change of control, sale of assets or transfer to an affiliate. You may not assign it without our prior written consent. The Agreement binds and benefits the parties and their permitted successors and assigns.

35. Entire agreement; changes

35.1 The Agreement (these Terms and any Orders) is the entire agreement between the parties about the Products and Services and replaces all earlier proposals, representations and communications about them.

35.2 We may change, update, discontinue or replace features, APIs, integrations or other parts of the Products and Services, but will not materially reduce their core functionality during a paid term you have already started. We may make changes at any time to address security, legal, operational or technical issues.

35.3 We may update these Terms and the policies, Documentation, pricing, Usage Limits and other materials they refer to ("Updates") by notice through any reasonable means, including email, the Products and Services, your account settings or our website. Updates take effect on the date stated in the notice or, if none, when posted. Material Updates apply only going forward and take effect no earlier than 14 days after notice, unless they are required by law or relate to new features, Free Trials or beta offerings, Usage Limits, security, abuse prevention or service integrity, or are non-material administrative or clarifying changes, in which case they may take effect immediately. If you object to an Update, your sole remedy is to stop using the Products and Services before it takes effect; continued use after that date means you accept it. No Update changes the parties' rights for claims that arose before it took effect.

36. Publicity

We may name you as a customer and show your name and logo in our customer lists, website, presentations and marketing and sales materials, following any trademark guidelines you give us in writing. You can ask us to stop at any time by emailing us. We will not issue a press release naming you as a customer without your prior written approval.

37. Relationship of the parties

The parties are independent contractors. The Agreement does not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship. There are no third-party beneficiaries of the Agreement.

38. Waiver and severability

A party's failure to exercise or enforce a right or provision of the Agreement is not a waiver of it. If a court of competent jurisdiction finds any provision invalid, it should give effect as far as possible to the parties' intention in that provision, and the other provisions remain in full force.
